1. Acceptance of Terms

By accessing or using offerasis.com (the "Site"), submitting an offer, or completing a purchase, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Site. These terms constitute a legally binding agreement between you and HONNYDO LLC, an Arizona limited liability company.

2. About Offer As Is

Offer As Is is an online marketplace for unique, vintage, thrifted, and pre-owned items including but not limited to clothing, furniture, electronics, art, and homewares. The platform allows buyers to submit offers on listed items and negotiate a final price with the seller before completing a purchase.

3. No Refunds, No Returns, No Exchanges

ALL SALES ARE FINAL. By completing a purchase on Offer As Is, you acknowledge and agree that:

• No refunds will be issued for any reason, including but not limited to change of mind, dissatisfaction with the item, or failure to read the item description.
• No returns or exchanges are accepted under any circumstances.
• It is your sole responsibility to review all product images, descriptions, condition notes, and any available details before submitting an offer or completing a purchase.
• Items are sold "as is" — hence the name. The condition of each item is described to the best of our ability, but slight variations between the listing and the physical item may occur.
• Once a Stripe payment link has been completed, the transaction is final and binding.

4. The Offer Process

Submitting an offer does not constitute a purchase and no payment is required at the time of submission. The offer process works as follows:

• You submit an offer at your desired price. This is non-binding until both parties agree.
• The seller may accept, counter, decline, or place your offer on hold.
• If your offer is accepted, you will receive a secure Stripe payment link to complete the purchase.
• Payment must be completed within the time window specified in your acceptance email. Failure to pay within this window may result in the offer being voided.
• Once payment is completed via Stripe, the sale is final and no refunds will be issued.

5. Pricing and Payment

All prices are listed in US Dollars (USD). Payment is processed securely through Stripe. Offer As Is does not store your payment information. By completing payment, you agree to Stripe's terms of service in addition to these terms.

The final agreed-upon price between buyer and seller is the total amount due. No additional fees are charged to the buyer beyond the agreed price unless explicitly stated.

6. Item Descriptions and Condition

We make every reasonable effort to accurately describe and photograph each item. Items are categorized by condition (New, Like New, Good, Fair, Poor) as a general guide. All items are pre-owned, vintage, or thrifted unless explicitly stated as new. By submitting an offer, you acknowledge:

• You have reviewed all available photos and descriptions.
• You understand and accept the stated condition of the item.
• Minor imperfections consistent with the item's stated condition are not grounds for a refund or dispute.

7. Shipping and Delivery

Shipping timelines, carriers, and costs will be communicated after purchase. Offer As Is is not responsible for delays caused by shipping carriers, customs, weather, or other circumstances outside our control. Risk of loss passes to the buyer upon handoff to the shipping carrier.

If an item is lost or damaged in transit, you must file a claim directly with the shipping carrier. We will assist where possible but cannot guarantee outcomes with third-party carriers.

8. Prohibited Uses

You agree not to use the Site to:

• Submit fraudulent offers or engage in any deceptive conduct.
• Attempt to circumvent the payment process.
• Harass, threaten, or abuse any party.
• Use automated tools, bots, or scrapers without express written permission.
• Violate any applicable local, state, or federal laws.

9. Intellectual Property

All content on this Site, including images, text, logos, and design, is the property of HONNYDO LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

10. Disclaimer of Warranties

The Site and all items sold through it are provided "as is" and "as available" without warranty of any kind, express or implied. HONNYDO LLC makes no warranties regarding the accuracy of item descriptions, fitness for a particular purpose, or merchantability. Your use of the Site is at your sole risk.

11. Limitation of Liability

To the fullest extent permitted by law, HONNYDO LLC, its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or purchase of any item. Our total liability to you for any claim arising from these terms shall not exceed the amount you paid for the item in question.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Arizona, and you consent to personal jurisdiction in such courts.

Before initiating any legal action, you agree to contact us at [email protected] and allow 30 days for us to attempt to resolve the dispute informally.

13. Privacy

Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection and use of your information as described therein. We do not sell your personal information to third parties.

14. Changes to These Terms

HONNYDO LLC reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
